You may not modify the materials on this website in any way or reproduce or publicly display, perform, post, transmit, distribute or otherwise use them for any public or commercial purpose without written permission by Melissa.

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of www.melissa.com and the other Melissa websites, pages, and online services that link to these Terms (the "Site"). The Site is operated by Melissa Data Corporation ("Melissa," "we," or "us").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

If you access or use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

These Terms govern the Site only. Your use of Melissa products, data, software, and APIs is governed by the separate written agreement or license that applies to them. If that agreement conflicts with these Terms, that agreement controls as to the product.

2. Privacy

Melissa's collection, use, and disclosure of personal information through the Site is described in the following notices:

You may opt out of the sale or sharing of personal information collected through cookies and similar technologies at any time using the "Cookie Preferences" link in the footer of any page. To submit a consumer privacy request, including a request to opt out of the sale or sharing of personal information, to limit the use of sensitive personal information, to delete, or to know, use the Consumer Privacy Request form.

If these Terms conflict with any of these notices on a privacy matter, the notice controls.

3. Use of Materials on the Melissa Website

Melissa grants you a limited, revocable, non-exclusive, non-transferable license to view, download, and print materials on the Site for your own internal business or personal reference, including for the purpose of evaluating Melissa products. You must retain all copyright, trademark, and other proprietary notices contained in the original materials on any copy you make.

You may not modify the materials; reproduce, publicly display, publicly perform, post, transmit, distribute, license, sell, or otherwise exploit them for any public or commercial purpose; or remove or obscure any proprietary notice, in each case without Melissa's prior written permission.

Melissa reserves all rights not expressly granted. Nothing in these Terms or in your use of the Site grants any license to any Melissa patent, trademark, trade secret, or other intellectual property.

4. Acceptable Use

You agree not to, and not to permit or enable any third party to:

• access or use the Site by any automated means, including robots, spiders, scrapers, crawlers, or headless browsers, except for search engine crawlers that observe Melissa's robots.txt file;
• extract, harvest, compile, scrape, or copy any data, records, listings, or content from the Site, or reconstruct any Melissa database or data file in whole or in part;
• use the Site, any Site content, or any output of a Site demonstration, lookup, sample, or trial to develop, train, fine-tune, benchmark, or improve any machine learning model, artificial intelligence system, or product or service that competes with Melissa;
• use any Site lookup, demonstration, sample, free trial, or API key for any purpose other than evaluating Melissa products for your own use, or exceed any usage limit that Melissa publishes or communicates to you;
• circumvent, disable, or interfere with any authentication, rate limit, access control, or security feature of the Site;
• probe, scan, or test the vulnerability of the Site or any Melissa system, or breach or attempt to breach any security or authentication measure, without Melissa's prior written authorization;
• submit to the Site any personal information that you do not have the right to submit, or any data in violation of applicable privacy, data protection, or telemarketing law;
• use the Site to transmit malware or other harmful code, or to send unsolicited commercial messages;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• interfere with the operation of the Site or place an unreasonable load on Melissa's infrastructure; or
• use the Site for any unlawful purpose or in violation of these Terms.

Melissa may investigate any suspected violation and may suspend or terminate your access to the Site at any time, with or without notice. Melissa may report suspected unlawful activity to law enforcement.

5. Registration, Trials, and Accounts

Some areas of the Site require registration or an account. You agree to provide accurate information, to keep it current, and to keep your credentials confidential. You are responsible for all activity under your account. Notify Melissa promptly by emailing us if you learn of any unauthorized use.

Free trials, evaluation licenses, and sample data are provided for evaluation only, are subject to the applicable trial or license terms, and may be modified or discontinued at any time.

6. Use of Downloadable Software

Any software available for download from the Site is licensed, not sold, and is subject to the terms of the license agreement accompanying or referenced by that software. Except for the rights expressly granted in that license agreement, Melissa and its licensors reserve all intellectual property rights, title, and interest in the software.

Export Control and Sanctions. Software, data, and technical information available on the Site are subject to United States export control and economic sanctions laws, including the Export Administration Regulations and the regulations administered by the U.S. Department of the Treasury, Office of Foreign Assets Control. You represent that you are not located in, organized under the laws of, or ordinarily resident in an embargoed country or region, and that you are not identified on any U.S. restricted party list. You agree not to export, re-export, or transfer any Melissa software, data, or technical information in violation of those laws.

7. Your Submissions and Feedback

You may submit questions, comments, suggestions, ideas, or other information through the Site, including through web forms and the AI chat assistant (each, a "Submission"). Do not send Melissa any Submission that you regard as confidential or proprietary. Submissions are not confidential, and Melissa undertakes no obligation of confidentiality with respect to them.

You grant Melissa a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit any Submission for any lawful business purpose, including improving Melissa products and services. Personal information contained in a Submission is handled as described in the Privacy Policy, and questions entered in the AI chat assistant are handled as described in Section 8 and in the Privacy Policy.

You represent that you have the right to provide each Submission and that no Submission infringes or misappropriates the rights of any third party.

8. AI-Powered Support Services

Automated Nature. The Site offers an automated chat assistant, powered by Kapa.ai, that answers questions about Melissa products and technical documentation. The assistant uses artificial intelligence and large language models. You are interacting with an automated system, not with a Melissa employee. The assistant is offered for your convenience. You may instead reach a person at 1-800-MELISSA or through the contact forms on the Site.

No Warranty of Accuracy. The assistant generates responses automatically. Responses may be incomplete, out of date, or incorrect, and may not reflect your license, contract, product configuration, or jurisdiction. The assistant does not speak for Melissa, does not modify any agreement between you and Melissa, and does not create any representation, warranty, or commitment. Verify any response against Melissa documentation or with a Melissa representative before relying on it.

No Professional Advice. Responses from the assistant are general product information only. They are not legal, regulatory, compliance, privacy, financial, or other professional advice. Melissa products and data are subject to laws governing the use of consumer information, and permissible use varies by use case and jurisdiction. Consult your own counsel or compliance advisors before relying on any response for a regulated use.

Do Not Submit Sensitive or Confidential Information. The assistant accepts free-text input. Do not enter government identification numbers, financial account or payment card numbers, health information, account credentials, consumer data files, or any information that you or a third party regard as confidential.

Third-Party Processing. The text of your questions is transmitted to Melissa's third-party processor, Kapa.ai, and to its sub-processors, which include providers of large language models. Section X (Data Collection and Sharing in AI Chat) of the Privacy Policy describes what is collected, how it is used, and the limits Melissa has placed on that use, including that your chat inputs are not used to train the foundational large language models operated by Kapa.ai's sub-processors.

Availability. Melissa may modify, suspend, or discontinue the assistant at any time.

9. Third-Party Descriptions and Links

The Site contains information about third parties, often referred to as partners, that offer products or services compatible with Melissa products, and contains links to third-party websites. This information and these links are provided for your convenience only.

Melissa does not control third-party products, services, or websites, does not endorse them, and is not responsible for them or for the accuracy of any description of them. Third-party websites are governed by their own terms and privacy practices. Any dealings between you and a third party are solely between you and that third party.

10. Disclaimer of Warranty

INFORMATION ON THE SITE MAY BE CHANGED OR UPDATED WITHOUT NOTICE, MAY CONTAIN FACTUAL INACCURACIES OR TYPOGRAPHICAL ERRORS, AND MAY BE INCOMPLETE OR OUT OF DATE. MELISSA MAY MAKE CHANGES OR IMPROVEMENTS TO THE PRODUCTS DESCRIBED ON THE SITE AT ANY TIME WITHOUT NOTICE.

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED BY MELISSA, THE SITE AND ALL MATERIALS, DATA, SOFTWARE, DEMONSTRATIONS, TRIALS, AND AI ASSISTANT RESPONSES MADE AVAILABLE ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. MELISSA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

MELISSA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELISSA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, OR FOR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE OR ANY LINKED WEBSITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT MELISSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS DO NOT APPLY TO CLAIMS UNDER A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND MELISSA, WHICH ARE GOVERNED BY THAT AGREEMENT'S OWN LIMITATION OF LIABILITY.

THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR WILLFUL INJURY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN THOSE JURISDICTIONS MELISSA'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnity

You will indemnify, defend, and hold harmless Melissa and its affiliates, officers, employees, and agents from any claim, demand, loss, liability, and expense, including reasonable attorneys' fees, arising out of or relating to your use of the Site in violation of these Terms or applicable law, or your submission of any data to the Site that you did not have the right to submit.

13. International Access

The Site is operated by Melissa Data Corporation from its offices in Rancho Santa Margarita, California, United States. Melissa makes no representation that the Site or its materials are appropriate or available for use in every location. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local law.

Melissa affiliates outside the United States serve customers in their regions. Products and services obtained from a Melissa affiliate are governed by that affiliate's own agreement and terms.

Melissa's commitments regarding personal data transferred from the European Economic Area, the United Kingdom, and Switzerland are described in the EU-U.S. Data Privacy Framework Notice and in the Privacy Policy.

14. Governing Law and Disputes

These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of California, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Melissa agree that the exclusive venue for any such dispute is the state and federal courts located in Orange County, California. You and Melissa each consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum.

Any claim arising out of or relating to the Site must be brought within one year after the claim accrues, except where a longer period is required by law.

If you are a consumer resident in the United Kingdom or the European Economic Area, nothing in this section deprives you of the protection of the mandatory consumer law of your country of residence or of the right to bring proceedings in the courts of that country.

15. Changes to These Terms

Melissa may revise these Terms. We will post the revised Terms on this page and update the Last Updated date above. If the changes are material, we will provide additional notice on the Site before they take effect.

Revised Terms apply to your access to and use of the Site on and after their effective date. Your continued use of the Site after that date means you accept the revised Terms. If you do not accept them, stop using the Site.

16. Children

The Site is a business website and is not directed to children. Melissa does not knowingly collect personal information through the Site from anyone under 16 years of age. If you believe a child has provided personal information through the Site, contact Melissa through the Privacy Center and Melissa will delete it.

17. Electronic Communications

When you use the Site or send communications to Melissa through the Site, you consent to receive communications from Melissa electronically. Melissa may provide notices to you by email or by posting them on the Site. You agree that electronic notices, agreements, and disclosures satisfy any legal requirement that a communication be in writing.

18. Accessibility

If you have difficulty accessing any part of the Site, contact us by email and we will provide the information or service you need through an alternative method.

20. General

Entire Agreement. These Terms are the entire agreement between you and Melissa regarding the Site and supersede any prior understanding on that subject. They do not supersede any separate written agreement between you and Melissa regarding Melissa products, data, software, or services.

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force and effect.

No Waiver. Melissa's failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without Melissa's prior written consent. Melissa may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

Survival. The sections titled Use of Materials, Acceptable Use, Your Submissions and Feedback, Disclaimer of Warranty, Limitation of Liability, Indemnity, Governing Law and Disputes, and General survive any termination of your access to the Site.

Force Majeure. Melissa is not liable for any failure or delay caused by events beyond its reasonable control.

Headings. Headings are for convenience only and do not affect interpretation.
